DoorFlow Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the DoorFlow platform, APIs, administration portal and related services (“Service”). DoorFlow is a trading name of NetNodes Limited (“NetNodes”, “we”, “us”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation. In such cases, “Customer” refers to that organisation.


1. Accounts & Eligibility

1.1 Minimum Age. You must be at least 16 years old, or have a lawful basis to process data for individuals under 16.

1.2 Accurate Information. You must provide your legal name, a valid email address, and any other information requested to complete signup, and keep it up to date.

1.3 Account Security. You are responsible for safeguarding your login credentials, and for all activity that occurs under your account.

1.4 Authorised Users. Each user must have their own login. Sharing a single login between people is not permitted. You may create as many logins as your plan allows.

1.5 Acceptable Use. You may not use the Service for any unlawful, fraudulent or abusive activity, or in breach of any law in your jurisdiction.


2. Data Protection & Privacy

2.1 Customer Data Ownership. Customer retains all rights to the data and content uploaded to or created within the Service (“Customer Data”), including cardholder records and access control events.

2.2 Processor Role. To the extent NetNodes processes personal data on behalf of the Customer, NetNodes acts as a Data Processor and the Customer is the Data Controller.

2.3 DPA Incorporation. By creating an account or using the Service, the Customer enters into the Data Processing Agreement available at https://policy.netnodes.net/dpa, which forms part of these Terms. Our sub-processors are published at https://policy.netnodes.net/subprocessors.

2.4 Privacy Notice. Use of the Service is also subject to our Privacy Notice.

2.5 Access to Customer Data. Our staff access Customer Data only in order to provide and support the Service, to prevent or address a service or technical problem, or where the law requires it.


3. Use of the Service

3.1 Licence to Use. We grant you a limited, non-exclusive, non-transferable right to use the Service.

3.3 Third-Party Systems. DoorFlow relies on door hardware, controllers and third-party services. Their terms also apply, and we are not responsible for their availability.


4. API Terms

Customers may access their DoorFlow account data through our API, including through a NetNodes product or a third-party product.

4.1 Abuse of the API, or excessively frequent requests, may result in temporary or permanent suspension of API access. We determine what constitutes abuse, and will make a reasonable attempt to warn the account owner by email before suspending.

4.2 We may modify or discontinue the API, or any part of it, at any time.

4.3 Developers must also comply with the Developer Terms of Use.


5. Subscriptions, Billing & Taxes

5.1 Basis of Charge. Billing is calculated on peak monthly usage across three metrics: active People, active Channels and active Sites. We charge only for active people, channels and sites.

5.2 Billing Period. The Service is billed quarterly in arrears, based on monthly usage.

5.3 Refunds. Fees are non-refundable. There are no refunds or credits for partial months, for downgrades, or for months unused on an open account.

5.4 Plan Changes. Any change in usage moves you between billing tiers automatically, up or down.

5.5 Price Changes. Prices are subject to change on 14 days’ notice, which may be given by posting the change to doorflow.com or within the Service.

5.6 Taxes. All fees are exclusive of taxes, levies and duties, which are your responsibility.


6. Cancellation & Termination

6.1 Customer Cancellation. You are responsible for cancelling your account, which you may do at any time.

6.2 Effect of Cancellation. Cancellation takes effect immediately, and you will be billed to the end of the current month. Customer Data may be deleted after the retention period described in our DPA and Privacy Notice, and cannot be recovered once deleted.

6.3 Termination by NetNodes. We may suspend or terminate access where these Terms are violated, where required by law, or where payment is overdue.

6.4 Survival. Sections relating to intellectual property, liability, indemnities and data protection survive termination.


7. Intellectual Property

7.1 NetNodes IP. All rights in the Service, its software, documentation and underlying technology belong to NetNodes. You may not duplicate, copy or reuse any part of its HTML, CSS, JavaScript or visual design without our written permission.

7.2 Customer IP. Customer retains ownership of Customer Data and of materials it uploads. We claim no intellectual property rights over them.


8. Security and Site Safety

8.1 Our Security. We implement industry-standard technical and organisational measures to protect Customer Data.

8.2 Customer Responsibility. You are responsible for appropriate configuration, access control, and managing your users and their permissions.

8.3 Physical Security. You are fully responsible for the physical security of your premises at all times. DoorFlow controls electronic access; it is not a substitute for physical security measures. We recommend insurance-approved deadlocks to secure premises at night and whenever DoorFlow is not in use. NetNodes accepts no liability for loss associated with any breach of site security.

8.4 Transmission. You understand that operating the Service involves transmission over various networks, and changes to conform to the technical requirements of connecting networks or devices.


9. Availability & Support

9.1 Availability. Service availability is governed by our Service Level Agreement.

9.2 Support. Technical support is available to paying account holders, primarily by email.

9.3 Abuse of Staff. Verbal, physical or written abuse of any NetNodes customer, employee, officer or contractor, including threats, will result in immediate account termination.


10. Limitation of Liability

To the maximum extent permitted by law:

Nothing in this clause limits liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, or for fraud.

We may update these Terms by posting revised terms at policy.doorflow.com. Continued use of the Service after a change constitutes acceptance. You can review the current version at any time at that address.


13. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

For EU/EEA customers, mandatory consumer and data protection rights continue to apply.
